1. Agreement to Terms

By accessing or using MyMediFile (“the platform,” “the service”) operated by E³ Health Technologies, Inc. (“MyMediFile,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use. If you do not agree to these Terms, do not use the platform.

These Terms apply to all users of MyMediFile, including patients, providers, clinic staff, and visitors.

2. Description of Service

MyMediFile is a patient-controlled health information platform that helps patients organize their health information and share a structured, provider-ready summary with their care team before clinical visits.

Current platform features include:

  • Patient health record organization and management
  • Provider-ready pre-visit summaries
  • Document storage and management
  • AI-assisted health information explanation (Explain Results feature)
  • Provider review workflows and dashboards
  • Intake link management and patient update workflows
  • PDF export and EMR-copy functionality

MyMediFile is designed to complement — not replace — existing clinical workflows and electronic medical record systems.

3. What MyMediFile Is Not

MyMediFile is a health information technology platform. MyMediFile is not a healthcare provider, hospital, physician practice, health insurance company, pharmacy, or emergency medical service.

MyMediFile does not provide medical advice, diagnose medical conditions, prescribe treatment, or replace the relationship between patients and licensed healthcare professionals.

Your use of MyMediFile does not create a physician-patient, provider-patient, fiduciary, or other professional relationship between you and MyMediFile or E³ Health Technologies, Inc.

Medical emergency

If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. Do not use MyMediFile in an emergency.

Healthcare decisions should always be made in consultation with qualified healthcare professionals.

4. Artificial Intelligence Features

MyMediFile currently uses Google's Gemini AI services to provide the Explain Results feature.

AI-generated explanations are intended solely to improve understanding of health information in plain language. AI-generated explanations may not be available for every uploaded document or file type.

AI-generated content:

  • may contain inaccuracies or omissions
  • does not constitute medical advice
  • should not be relied upon for diagnosis or treatment decisions
  • should always be reviewed alongside the original medical information and, where appropriate, discussed with a qualified healthcare professional

MyMediFile reserves the right to modify, suspend, or discontinue AI-powered features at any time.

5. Eligibility

To use MyMediFile you must:

  • Be at least 18 years of age, or be using the platform under the supervision and consent of a parent or legal guardian
  • Provide accurate and complete information when creating your account
  • Have the legal authority to share the health information you submit to the platform

6. Account Registration and Security

To access most features of MyMediFile you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Notify us immediately of any unauthorized access to your account at support@mymedifile.org
  • Accept responsibility for all activity that occurs under your account

MyMediFile uses Supabase for authentication, including email/password login and OTP verification. We are not responsible for unauthorized access resulting from your failure to protect your credentials.

7. Acceptance of Electronic Communications

By creating an account or using MyMediFile, you consent to receive electronic communications from us, including account notifications, security alerts, updates to the platform, and other service-related communications.

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

8. Patient Responsibilities

As a patient using MyMediFile, you agree to:

  • Provide accurate and complete health information to the best of your knowledge
  • Keep your health information reasonably current and updated
  • Understand that the accuracy of your provider-ready summary depends on the accuracy of the information you provide
  • Use the platform only for lawful purposes
  • Not submit false, misleading, or fraudulent health information

9. Provider and Clinic Staff Responsibilities

As a provider or clinic staff member using MyMediFile, you agree to:

  • Use patient health information only for legitimate clinical purposes
  • Maintain appropriate confidentiality of patient information accessed through the platform
  • Not access patient accounts without proper authorization
  • Comply with all applicable healthcare privacy laws, including HIPAA where applicable
  • Understand that MyMediFile provides organizational support for clinical workflows and does not replace clinical judgment
  • Not share patient login credentials or account access with unauthorized individuals

10. Acceptable Use

You agree not to use MyMediFile to:

  • Submit false, fraudulent, or misleading health information
  • Access another person’s account without authorization
  • Attempt to reverse engineer, copy, or reproduce the platform
  • Use the platform for any unlawful purpose
  • Transmit malware, viruses, or harmful code
  • Scrape, harvest, or collect data from the platform without authorization
  • Interfere with the platform’s operation, security, or integrity
  • Use the platform in any way that violates applicable laws or regulations
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

11. Intellectual Property

MyMediFile and its original content, features, and functionality are owned by E³ Health Technologies, Inc. and are protected by applicable intellectual property laws.

Your health information remains yours. MyMediFile does not claim ownership of the health information you submit to the platform.

By submitting information to MyMediFile, you grant E³ Health Technologies, Inc. a limited, non-exclusive license to store, process, and display your information as necessary to operate the platform and provide the service to you. This license terminates when you delete your account or request deletion of your data.

12. Reservation of Rights

Except for the limited rights expressly granted under these Terms, all rights, title, and interest in and to the MyMediFile platform, including all software, content, trademarks, logos, and proprietary technology, are reserved by E³ Health Technologies, Inc.

13. User Content

You retain ownership of the information and documents you upload to MyMediFile.

You represent that you have the legal right to upload and share such information and that doing so does not violate the rights of any third party.

14. Third-Party Services

MyMediFile integrates with third-party services to operate the platform, including:

  • Supabase — authentication and database
  • AWS — hosting, file storage, and document processing
  • Google's Gemini AI services — AI-powered Explain Results feature
  • Resend — transactional email
  • Stripe — provider billing and payment processing
  • Calendly — demo scheduling

Your use of these third-party services through MyMediFile is subject to their respective terms of service and privacy policies. MyMediFile is not responsible for the practices of these third-party providers.

We may replace, remove, or add third-party service providers from time to time as the platform evolves. Such changes will be reflected in our Privacy Policy where appropriate and made in accordance with applicable law.

15. Billing and Payment

Provider accounts with paid features are billed through Stripe. By providing payment information, you authorize MyMediFile to charge your payment method for applicable fees.

Billing terms, pricing, and cancellation policies will be communicated separately at the time of subscription. MyMediFile reserves the right to update pricing with reasonable prior notice.

16. Service Availability

While MyMediFile strives to maintain reliable service, we do not guarantee uninterrupted availability.

Maintenance, updates, outages, or events beyond our control may temporarily affect access to the platform.

17. Beta Features

From time to time, MyMediFile may make experimental or beta features available.

Beta features may change, be modified, or be discontinued without notice and may not perform as intended.

18. Termination and Suspension

MyMediFile may suspend, restrict, or terminate access to the platform if:

  • these Terms are violated
  • unauthorized or unlawful activity is suspected
  • continued access presents a security risk
  • otherwise permitted by applicable law

You may terminate your account at any time by contacting support@mymedifile.org.

Upon termination, your access to the platform will cease and we will handle your data in accordance with our Privacy Policy.

19. Disclaimers

The platform is provided “as is” and “as available” without warranties of any kind, express or implied.

MyMediFile does not warrant that:

  • the platform will be uninterrupted or error-free
  • the information provided through the platform is accurate, complete, or current
  • the platform will meet your specific requirements

To the maximum extent permitted by applicable law, MyMediFile disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

20. Limitation of Liability

To the maximum extent permitted by applicable law, E³ Health Technologies, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

In no event shall our total liability to you exceed the amount you paid to us in the twelve months preceding the claim.

21. Indemnification

You agree to indemnify and hold harmless E³ Health Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

22. Force Majeure

MyMediFile shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including natural disasters, acts of government, internet outages, cyberattacks, labor disputes, or failures of third-party infrastructure providers.

23. Severability

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

24. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

25. Governing Law and Dispute Resolution

These Terms are governed by applicable United States federal law and, where applicable, the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Delaware, unless otherwise required by applicable law.

26. Changes to Terms

We may update these Terms of Use from time to time. We will notify you of material changes by email or by posting a notice on the platform. Your continued use of MyMediFile following the effective date of updated Terms constitutes acknowledgment of the revised Terms to the extent permitted by applicable law.

27. Entire Agreement

These Terms, together with the MyMediFile Privacy Policy & Data Practices and any additional policies or notices expressly incorporated by reference, constitute the entire agreement between you and E³ Health Technologies, Inc. regarding your use of the MyMediFile platform and supersede any prior agreements or understandings.
